Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Dakar Projects LLC governing your use of the Roddy AI receptionist platform and roddyhq.com (the “Service”). Please read them carefully.
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

1. The Service
Roddy is an AI-powered virtual receptionist that answers and handles phone calls (and optionally chat messages) on behalf of a business. It can hold conversations, answer questions, take messages, schedule, reschedule, and cancel appointments on connected calendars, transfer or escalate calls, and produce recordings, transcripts, summaries, and notifications. We may add, change, or remove features at any time.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for safeguarding your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Your responsibilities
- Provide accurate business information (hours, services, service area, pricing, and policies) and keep it current; Roddy answers callers based on what you configure.
- Use the Service only for lawful purposes and in compliance with all applicable laws, including telephone, telemarketing, consumer-protection, and privacy laws.
- Obtain and maintain any consents, permissions, and notices required for us to handle calls, recordings, calendars, and contacts on your behalf.
- Ensure you have the right to connect any calendar, phone number, or third-party account you link to the Service.
- Be responsible for reviewing appointments, messages, and escalations, and for any actions you take based on the Service’s output.
4. Call recording & consent
You acknowledge and agree that the Service records and transcribes calls it handles. Recording laws vary by jurisdiction, and some require the consent of all parties. You are solely responsible for determining the requirements that apply to your calls and callers, for providing any required notices, and for obtaining any required consents. You agree to use the Service’s recording and notification features in a manner that complies with applicable law, and you assume responsibility for your use of recordings and transcripts.
5. Acceptable use
You agree not to, and not to allow others to:
- Use the Service for fraud, harassment, spam, robocalling/telemarketing in violation of law, or any unlawful, deceptive, or harmful activity.
- Impersonate any person or misrepresent your affiliation in a way that is unlawful or deceptive.
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure.
- Reverse engineer, resell, or build a competing product from the Service except as permitted by law.
- Upload or transmit malware, or use the Service to violate the rights of others.
6. AI & no professional advice
The Service relies on automated, AI-generated speech and text. It can make mistakes, mis-hear callers, or produce inaccurate information, bookings, or summaries. Output is provided for convenience and does not constitute legal, medical, financial, or other professional advice. You are responsible for verifying appointments and information that matter to your business. We do not guarantee that any particular call will be answered, completed, transferred, or booked correctly.
7. Not for emergencies
The Service is not a telecommunications carrier and is not designed or intended to handle emergency calls (such as 911) or time-critical safety situations. Do not rely on the Service to contact emergency services.
8. Third-party services
The Service integrates with third-party providers (for example, Google, Twilio, Stripe, and AI providers). Your use of those integrations may be subject to the third party’s own terms and privacy policies, and we are not responsible for third-party services. Your use of Google features must comply with Google’s applicable terms.
9. Fees & billing
If you subscribe to a paid plan or usage-based features, you agree to pay all applicable fees as described at the time of purchase. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and may change with notice. Payments are processed by our payment provider; you authorize us and the provider to charge your selected payment method. You are responsible for applicable taxes.
10. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by Dakar Projects LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain ownership of your data; you grant us a license to host, process, and use it as needed to provide and improve the Service and as described in the Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAKAR PROJECTS LLC AND ITS OFFICERS, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES (INCLUDING MISSED, DROPPED, OR MIS-HANDLED CALLS OR APPOINTMENTS), ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless Dakar Projects LLC from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, your business information, your calls and recordings, or your violation of these Terms or applicable law — including any claim relating to call recording, notice, or consent.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or others. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive.
15. Governing law & disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute that may be brought in court will be the state and federal courts located in Texas, and you consent to personal jurisdiction there, except where applicable law provides otherwise.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide notice where required. Your continued use of the Service after an update means you accept the revised Terms.
